Articles of association




CHAPTER I - NAME, ADDRESS, SCOPE, OBJECTIVES AND ACTIVITIES

Section 1 Title

It is the association called SPANISH FEDERATION FOR ENVIRONMENT AND CLIMATE CHANGE that is home to the provisions of Organic Law 1 / 2002 of 22 March, regulating the Right of Association and pursuant to the provisions of Article 22 of the Constitution, not having a profit.

2nd Art Legally

The Federation has legal personality and full capacity to act to manage and dispose of property and serve the purposes proposed.
The Federation is established for an indefinite period.

3rd Art Address and scope

The domicile of the Federation was established in Valencia, Calle Padre Palau AND Quert No. 15. Zip code 46009.
The Federation mainly implemented its activities throughout the State.

4th Art Purpose

The primary purpose of this Federation is contributing to the improvement of the environment due to damage caused by human activity on all fronts possible.
Within this generic order establish a more specific action lines, with the following priority:
1 - Contributing to the increase in the percentage of recycled waste they generate different urban centers.
2 - Contributing to the increased share of renewable energy generation.
3 - To contribute to saving and energy efficiency.
4 - To contribute to reduced emissions of greenhouse gases.
5 - Contribute to public awareness and education regarding the issues described above and in particular with regard to the environment in general.
6 - To contribute to the defense of the natural environment and biodiversity.
Art.5 No Activities

To fulfill the purposes listed in the preceding article shall conduct the first search, involvement and coordination of public and private agencies, companies, citizens and volunteers to support the following activities:

1 - facilitate and assist in the work of separation and transfer of recyclable waste generated by both businesses and individuals, from origin to specialized plants for treatment.
2 - Partnership and advice both to companies, individuals and public bodies in implementing any system of energy efficiency and renewable energy generation.
3 - Supporting and implementing recovery plans and conservation of natural areas, forests and reforestation of forest fire prevention.
4 - Working together and took some courses, lectures, advertising campaigns, etc. .. of any order consistent with our environmental education and awareness.
5 - The completion of any project in accordance with our statutory objectives.

Other activities of the Federation to fulfill its objectives or goals, are:

6 - Manage and protect the interests of member organizations of the Federation.
7 - Representation of organizations outside the Federation to public and private institutions, providing the tools for action Federation.
8 - energize and mobilize the Federation as a viable platform to make inter-communication and facilitate mobility among people, ideas, projects and experiences.

CHAPTER II .- THE ASSOCIATED

Article 6 º Capacity


Membership of the Federation all legal persons and institutions, legally constituted and registered with their corresponding registry freely and voluntarily, are interested in developing the aims of the Federation.

7th Art Rights Associate

Article 10 No legal penalties

b) Where any way intentionally impedes the functioning of governing and representative bodies of the Federation.

CHAPTER III .- THE GOVERNING BODY

Article 11 The General Assembly


The General Assembly is the supreme governing body of the Federation, composed of all partners in their own right waived and absolute equality, which adopts its decisions by majority or the principle of internal democracy.

All members will be subject to the agreements of the General Assembly, including absentees, dissidents and those still being present has abstained from voting.

Art 12th Assembly meetings

The General Assembly shall meet in ordinary session at least once a year, in the first quarter.
The General Assembly shall meet in extraordinary session whenever necessary, at the request of a number of partners representing at least ten per cent of the total.

Section 13 th Convocation of the assemblies

The calls of the General Assemblies, both ordinary and extraordinary, shall be in writing. Ads of the call will be placed in the usual places fifteen days in advance at least. At the start of the meetings of the General Assembly, be appointed the President and the Secretary thereof.

The Secretary shall prepare Minutes of each meeting to reflect an excerpt from the discussion, the text of the agreements that have been adopted and the numerical result of the vote. At the beginning of each session of the General Assembly to read the minutes of the meeting prior to approval or not.

14th Art Powers and validity of agreements

The Assembly shall be validly constituted on first call with the assistance of at least one third of the members present or represented, and second call, whatever their number, they have to hold half an hour after the first and the same place.

At meetings of the General Assembly, it is one vote to each member of the Federation.

Competence of the General Assembly:

a) Adopt, where appropriate, management of the representative body.
b) Review and approve or reject the annual budget of income and expenditure and the annual report of activities.
c) To establish general guidelines that will enable the Association meet its goals.
d) Have all measures to ensure the democratic functioning of the association.
e) Establish regular or special assessments.
f) To elect and dismiss members of the representative body.
g) adopt agreements concerning:

• Expulsion of members, a proposal of the representative body.
• Application for the declaration of public utility.
• Dissolution of the Federation.
• Amendments to the Statutes.
• Arrangement and disposition of assets.
• Remuneration, if any, members of the representative body.

The agreements were made by simple majority of those present or represented when the affirmative votes outweigh the negatives. However, require a qualified majority of those present or represented, that will result when the affirmative votes exceed half the agreements on dissolution of the Federation, amendments to the Statutes, disposition or disposal of property and compensation for board members and the representation, provided it is specifically convened for this purpose the respective assembly.

CHAPTER IV .- The representative body

15th Art of the representative body composition


The Federation of govern, manage and represent the representative body called the Board of Directors comprises the President, Secretary Treasurer and two Members.

The election of members of the representative body shall be made free and secret ballot of the members of the General Assembly. Article 16 º Term of office in the representative body

The members of the representative body, shall serve for a period of four years and may be reelected indefinitely.

The termination of office before the end of a statutory term may be due to:

a) Voluntary resignation submitted by letter in which to reason why.
b) Illness unfit to hold the office.
c) left as a member of the Federation.
d) penalty imposed for a foul in the exercise of office.

Any vacancy occurring in the representative body will be covered in the first General Assembly is held. However, the representative body may have, temporarily, until the next General Assembly, with a member of the Association for the vacancy.

Article 17 º Powers of representative body

The representative body has the following powers:

a) To hold and exercise the representation of the Federation and carry out the direction and management more broadly to recognize the law and implement the decisions taken by the General Assembly, in accordance with the rules, instructions and guidelines general that the General Assembly may establish.
b) Take the necessary arrangements for the hearing before public bodies, to exercise any kind of legal action and to bring relevant resources.
c) rule on the admission of new partners, bringing the updated list of all partners.
d) To propose to the General Assembly to establish quotas for members of the Federation are to satisfy.
e) To convene the General Assembly and monitor the agreements adopted therein are achieved.
f) notify the Registrar of Associations, amending the statute passed by the General Assembly within a month.
g) To present the balance sheet and statement of accounts for each year to the General Assembly for approval, and to budget the following year.
h) to keep accounts in accordance with specific rules allowing for the faithful picture of assets, results and financial position of the entity.
i) Conduct an inventory of the assets of the Federation.
j) Prepare the annual report of activities and submit to the General Assembly for approval.
k) temporarily solve any case not provided for by this Statute and announce it in the first subsequent General Assembly.
l) Any other powers not assigned in a manner specified in these statutes to the General Assembly.

Section 18 th Meeting of the representative body

The representative body, previously convened by the President or the person who replaces him, will meet in regular session at intervals to their members decide that in any event shall not exceed two months. It shall meet in extraordinary session if requested by a third of its members.

The representative body shall be validly constituted prior call and a quorum of half plus one of its members.

The members of the representative body are required to attend all meetings held and can excuse their attendance for good cause. In any case, will require the assistance of the President and the Secretary or the persons replacing them.

In the representative body will be taken by a majority vote of the simple present. In case of tie, the Chairman's vote will be good.
The agreements of the representative body shall be recorded in the minutes book. At the opening of each session thereof, shall read the minutes of the previous meeting to approve or rectified.

Article 19 º The President

The President of the Federation will also be President of the representative body.
They own the President, the following functions:
a) The address and legal representative of the Federation, by General Assembly delegation and the representative body.
b) The Chair and the conduct of the organs of government and representation.
c) Sign the calls for meetings of the General Assembly and representative body.
d) To approve the minutes and certificates made by the Secretary of the Association.
e) The functions of the office's own remaining and delegated by the General Assembly or the representative body.

The President shall replace him in case of absence or illness, the Secretary.

Article 20 º The Treasurer

The Treasurer shall be designed to the custody and control of resources of the Federation, as well as budgeting, balancing and settlement of accounts in order to subject them to the representative body, as determined under section 17 of these Bylaws . Signed receipts, fees and other documents of cash. Pay the bills approved by the representative body, which will have to be stamped in advance by the President.

Article 21: The Secretary and Members

The Secretary must guard the documentation of the Federation, write and sign the minutes of meetings of the governing and representative bodies, draft and approve the certifications you have to fight and have an updated list of partners.

The Members shall have the duties of his office as members of the Board, as well as those born of delegations or working committees of the Board to instruct them.

CHAPTER V THE ECONOMIC SYSTEM

Article 22 º Initial assets and economic resources


The initial capital of the federation was valued at zero euros.

The annual budget is approved each year at the Ordinary General Assembly.

The financial resources of the Federation is financed by:
a) Of the fees fixed by the General Assembly for its members.
b) government or private grants.
c) gifts, inheritances or / and bequests.
d) or earned income, assets or other income they can get.

Article 23 º Benefit activities


The benefits derived from economic activities including services, are intended for the fulfillment of the aims of the Federation, leaving no room in any case its distribution among partners or between spouses or people who live with those with similar emotional relationship, or among his relatives nor his free transfer to individuals or legal entities with lucrative interest.

Article 24 º Contributions

All Federation members are required to sustain it financially, through quotas or spill, and as apportioned by the General Assembly on proposal of the representative body.

The General Assembly may establish entrance fees, monthly installments, and extra fees.

The financial year will close on December 31 each year.

Article 25 No provision of funds

Current accounts or savings accounts with credit open, must be signed by the President and the Treasurer or Secretary.

To have funds available will be sufficient two signatures, of which, one will necessarily come from the President and the Treasurer or Secretary.

CHAPTER VI .- DISSOLUTION OF THE FEDERATION

Article 26 No Grounds for Dissolution and delivery of the remaining

The Federation may be dissolved:

a) If so agreed by the General Assembly convened expressly for that purpose and with the favorable vote of more than half of those present or represented.
b) For the reasons laid down in Article 39 of the Civil Code.
c) a final judicial decision.

Article 27 º Clearance


The dissolution of the Federation opens the settlement period to the end of which the entity will retain its legal entity.

The members of the representative body at the time of dissolution become liquidators, unless the General Assembly designate other, or where the court, if necessary, decide.

It is up to the liquidators:
a) Ensuring the integrity of the heritage of the Federation.
b) To conclude outstanding transactions and make the new ones are required for clearance.
c) Charge credit of the Federation.
d) To liquidate the assets and pay creditors.
e) Apply the surplus assets of the Federation for the purposes intended by the Constitution.
f) To request the cancellation of the seats in the corresponding register.

In case of insolvency of the Federation, the representative body or, if applicable, the liquidators are to promote the appropriate insolvency proceedings immediately before the competent court.

The net surplus arising from the settlement will go directly to WWF.

The partners are not personally liable for the debts of the Federation.

The members or owners of the governing and representative bodies and other persons acting on behalf of the Federation, responsible to it, to partners and third parties for any damage caused and the debts incurred by malicious acts, negligence or negligent.

CHAPTER VII .- Extrajudicial Conflict Resolution

Article 28 º of alternative dispute resolution


In all matters not provided for in these Regulations shall apply the Organic Law 1 / 2002 of 22 March on the Law of Association, and supplementary provisions.
